Terms of Service

These Terms of Service ("Terms") govern access to and use of the RADSVI Pursuit Portfolio Intelligence platform, including Pursuit Compass (the "Service"). By creating an account or using the Service, you agree to these Terms on behalf of the organization you represent ("Customer").
1. Accounts and access
Customer is responsible for the accuracy of registration information, for maintaining the confidentiality of account credentials, and for all activity occurring under its accounts. Access is licensed to Customer's authorized users only and may not be resold or shared outside Customer's organization.
2. Subscriptions and fees
Paid plans are billed in US dollars in advance on a monthly or annual basis and renew automatically until cancelled. Fees are exclusive of taxes. Cancellation and refund handling is described in the Refund & Cancellation Policy, which is incorporated into these Terms.
3. Customer data
Customer retains all rights in the company information, documents and opportunity data it submits ("Customer Data"). Customer grants RADSVI a limited license to process Customer Data solely to provide, secure and support the Service. RADSVI does not sell Customer Data.
4. Acceptable use
- No unlawful, infringing or misleading use of the Service.
- No attempts to breach, probe or circumvent security or tenancy controls.
- No reverse engineering, scraping or benchmarking for a competing product.
- No submission of data you lack the right to provide.
5. Decision outputs
The Service produces analytical outputs, including fit scores and PURSUE, REVIEW or PASS recommendations, based on the evidence Customer provides. These outputs are decision support only. They are not legal, financial, procurement or compliance advice, and Customer remains solely responsible for its bid and business decisions.
6. Availability and changes
The Service is provided on an ongoing basis without a committed uptime guarantee unless separately agreed in writing. RADSVI may modify or discontinue features, and will use reasonable efforts to give notice of material adverse changes to paid plans.
7. Confidentiality
Each party will protect the other's non-public information with at least reasonable care and use it only to perform under these Terms.
8. Disclaimers and limitation of liability
The Service is provided "as is" without warranties of any kind to the maximum extent permitted by law. To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages, or lost profits or lost business opportunity, and RADSVI's total aggregate liability arising out of the Service will not exceed the fees paid by Customer in the twelve months preceding the claim.
9. Suspension and termination
RADSVI may suspend access for non-payment or for use that threatens the security or integrity of the Service. Customer may stop using the Service at any time; cancellation of a paid plan follows the Refund & Cancellation Policy.
10. Governing law
These Terms are governed by the laws of the United States and the State of Delaware, excluding conflict-of-law rules.
